Welcome to Johnson Wholesale Pallets. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and the purchase of goods from our facility located at 14575 East 11 Mile Road, Warren, MI, USA.

By accessing our website, communicating with us, or purchasing our products, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not make a purchase or use our services.

1. Nature of the Goods (Liquidation Disclaimer)

Please read this section carefully, as it details the nature of the products we sell.

• “As-Is” Condition: All merchandise, including liquidation pallets, truckloads, customer returns, shelf pulls, and overstock items, is sold strictly “AS-IS” and “WHERE-IS.”
• No Warranties: Johnson Wholesale Pallets makes no warranties, expressed or implied, regarding the condition, fitness for a particular purpose, merchantability, or retail value of the items.
• Expected Defect Rate: Because we sell liquidation and returned merchandise, you acknowledge that a percentage of the items may be damaged, non-functional, missing parts, or out of date. We do not guarantee the condition of any specific item within a pallet or load.
• Manifests: If a manifest (inventory list) is provided, it is for reference purposes only and is not a guarantee of exact item counts, models, or conditions.

2. Purchases and Payments

• Pricing: All prices are subject to change without notice. Prices listed do not include shipping, handling, or applicable taxes unless otherwise stated.
• Payment Methods: We accept approved payment methods as indicated at the time of purchase (e.g., wire transfers, credit cards, cash for in-person pickups). Goods will not be released or shipped until payment has cleared in full.
• Sales Tax: Customers are responsible for all applicable sales taxes. If you are purchasing for resale, you must provide a valid Resale Certificate/Tax Exemption form prior to checkout.

3. All Sales Are Final (Return Policy)

Due to the nature of the wholesale liquidation business, all sales are final.

• We do not offer returns, refunds, exchanges, or credits for any merchandise once it has left our facility or has been handed over to a freight carrier.
• It is the buyer’s responsibility to inspect the goods (if purchasing in person) prior to finalizing the sale.

4. Shipping, Freight, and Pickup

• Buyer’s Responsibility: The buyer is responsible for all shipping and freight costs unless otherwise agreed upon in writing.
• Risk of Loss: The risk of loss and title for the goods pass to you once we deliver the goods to the carrier or once you pick them up from our Warren, MI facility.
• Delivery Logistics: For freight deliveries, the buyer is responsible for ensuring the delivery location can accommodate a commercial vehicle and for unloading the pallets (e.g., having a loading dock or forklift), unless accessorial services like a liftgate are paid for in advance.
• Delays: Johnson Wholesale Pallets is not liable for any delays in shipping caused by the carrier, weather, or unforeseen circumstances.

5. User Representations

By using our website and purchasing our products, you represent and warrant that:

1. You are at least 18 years of age.
2. All information you provide to us (contact, shipping, and billing info) is accurate and complete.
3. You are purchasing these goods for legitimate business or personal use, and you assume full responsibility for the resale, recycling, or disposal of any goods purchased from us in accordance with local, state, and federal laws.

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Johnson Wholesale Pallets or its content suppliers and is protected by intellectual property laws. 7. Limitation of Liability

To the fullest extent permitted by law, Johnson Wholesale Pallets, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, or loss of data, arising out of or related to your use of our services or the purchase/resale of our goods. Our maximum liability to you for any claim shall not exceed the amount you paid for the specific goods in question.

8. Indemnification

You agree to indemnify, defend, and hold harmless Johnson Wholesale Pallets from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your resale of the products, or your violation of any law or third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in or near Macomb County, Michigan.
